General Terms and Conditions relating to the use of this Website

The following terms and conditions (the "Terms") apply to the use of the website, located at www.iml-uk.com ("the Site"). Please read the Terms carefully before accessing the Site. By accessing or using the Site you agree that you accept these Terms and to be bound by them. If you do not accept these Terms you may not use or access the Site.

2. Use of the Site
You are permitted to use the Site for lawful purposes only. You are prohibited from using the Site in any manner which could harm the interests of IML, its suppliers and/or its customers.

You agree not to (a) misuse the Site by knowingly introducing any viruses, Trojans, worms, logic bombs or other materials that are malicious or technologically harmful; or (b) attempt to gain any unauthorised access to the Site, the server on which the Site is stored or any server, computer or database connected to the Site; or (c) attack the Site. Any breach of this provision constitutes a criminal offence under the Computer Misuse Act 1990, and we will report any such breach that we become aware of to the relevant law enforcement authorities and will co-operate with them by disclosing your identity to them.

When using the Site you must comply with the provisions of our Privacy Policy.

Access to the Site is permitted on a temporary basis. IML shall use its reasonable endeavours to make the Site available for use in accordance with its Terms, but does not guarantee that the Site, or any services available through it, will be available on an uninterrupted basis and IML shall not be liable if the Site is unavailable at any time, for any period. IML reserves the right to withdraw, change, add to or otherwise modify the Terms at any time without prior notice. We therefore recommend that you review the Terms as often as possible.

3. Accuracy of the Content of the Site and Disclaimer
The content, information and data provided on the Site (the "Data") is provided for general information only. It is not intended to address your particular requirements.

The Data is provided "as is", without any guarantees, conditions or warranties as to its adequacy, accuracy or completeness. IML accepts no liability and offers no warranties in relation to the Data, or in relation to the Site, and expressly excludes all representations, warranties, conditions and other terms otherwise implied by statute, common law or the law of equity (including, without limitation, any implied warranties of merchantability, quality, or fitness for a particular purpose in relation to the Data) to the fullest extent permitted by applicable law.

Some of the Data has been or will be obtained from third party suppliers or sources. While IML believes such Data to be accurate and reliable, IML cannot guarantee its accuracy or reliability, and IML disclaims and excludes to the fullest extent permitted by applicable law all liability resulting from any reliance by you or third parties on the Data.

The Data and materials on the Site do not constitute any form of advice or recommendation by IML to you and are not intended to be relied upon by you in making (or refraining from making) any specific investment or other decisions, and you should seek advice and/or independently verify such Data before relying upon it.

4. Ownership of rights
The Data published on the Site, all designs, names, text, logos, icons and graphics appearing on the Site, and all software and databases forming part of the Site (together the "Materials") are owned by IML or its licensors and protected by copyright, database rights and/or other intellectual property rights in various jurisdictions throughout the world. All copyright, database rights and other intellectual property rights in the Materials are and shall remain vested in IML or its licensors. You acknowledge that you will not acquire any right, title or interest in or to the Materials and that no such rights are or shall be implied.

Where any of the Materials contain or has affixed to it IML's trade marks, trade names, notices or other proprietary marks, you may not alter, obscure, remove, interfere with or add to any of the said trade marks, trade names, notices or proprietary markings.

You may print off one copy, and may download extracts, of any page(s) from our Site for your personal, non-commercial use or reference, provided you may not modify the paper or digital copies of any of the Materials you have printed off or downloaded, including removing any references to us (or that of any identified contributors) as the authors of the Materials. You must obtain our prior written permission to:

(a) copy, reproduce, represent, modify, transmit, publish, adapt, distribute or broadcast any Materials, whether in whole or in part; or

(b) use in any manner all or any part of the Data, for purposes other than your own personal, non-commercial use.

Any unauthorised downloading, use, copying or modification or distribution of the Data or Materials by you may constitute a breach of our statutory or common law rights, and we reserve our right to bring a claim or legal action against you as a result of any such unauthorised use.

5. External Links
From time to time the Site may contain links to certain non-IML sites and resources provided by third parties (an "External Site"). Any such links to External Sites are provided for information only and IML does not endorse such External Sites. You acknowledge that such External Sites are independent from IML and that IML has no control over the content of them. Accessing an External Site through the use of links made available on the Site is therefore at your own risk. IML accepts no liability for (a) the use of any External Site by you or any loss or damage arising out of your use of it; (b) the content of any External Site; or (c) your downloading of any data, information or materials posted on any External Site.

6. Limitation of Liability
Whilst IML makes every effort to ensure that the Site is free from viruses or defects, we cannot guarantee that your use of the Site or any External Sites accessible through the Site will not cause damage to your computer system.

IML accepts no liability for and, to the fullest extent permitted by applicable law expressly excludes any and all liability (whether direct or indirect, consequential or of any other nature) for: (i) any loss or any type of damage to you or your computer system, arising out of or in connection with the use of the Site, Materials or any External Site; (ii) the inability to use the Site, Materials or any External Site; (iii) use of Materials on the Site or materials on any External Site; (iv) downloading any Material from the Site or materials from any External Site; (v) any errors, inaccuracies, omissions and/or misleading statements posted on the Site or any External Site and/or (vi) any loss or damage caused by a distributed denial of service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the Site, your downloading of any material posted on it, or any External Site linked to it.

Whilst IML shall use reasonable endeavours to make the Site secure for use, IML does not guarantee that the Site (or any External Site) is secure or free from viruses or other malicious code. We recommend that you virus check all Data and Materials downloaded from the Site (and when downloading data from any External Site) and regularly check your computer system for the presence of viruses or other malicious code originating, or contracting, from the Site or from any External Site. IML excludes to the fullest extent permitted by applicable law all liability in connection with any damage or loss caused by computer viruses or other malicious code originating, or contracted, from this Site or from any External Site. It is your responsibility to ensure that the correct computer equipment is available to use the Site and to screen out anything that may damage it.

IML does not accept liability for the acts or omissions of the users of the Site.

IML will not be liable to you or any third party for any indirect or consequential loss or damage arising out of or relating to any use of the Site or Materials, regardless of whether such loss was foreseeable or whether such claims are based on negligence, breach of contract, strict liability, breach of statutory duty or otherwise howsoever including: loss of income or revenue; loss of profits; loss of business or contracts; anticipated savings; loss of reputation or goodwill; loss or corruption of data; or wasted management or administrative time. Nothing in the Terms excludes IML's liability for death or personal injury caused by the negligence of IML, or for our fraud or fraudulent misrepresentation, or for any other liability which cannot be excluded or limited under the applicable law. If any provision of the Terms is found to be unlawful, void or for any reason unenforceable then that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining Terms.

7. Data Protection
IML will not collect any personal data about you (that is, your name, address, telephone number, e-mail address or other data from which you can be identified "Personal Data") though the Site unless you provide it voluntarily. Where Personal Data is provided by you through the Site, we will process it in accordance with UK data protection law. In the UK, data protection law is enforced by the Information Commissioner's Office.

Where Personal Data is collected, we shall take reasonable and appropriate measures to ensure that such Personal Data is stored in a secure manner. However, the internet is inherently not secure and Personal Data submitted by means of the internet may be vulnerable to unauthorised access by third parties. Any submission of Personal Data using the internet is therefore at your own risk.

If you do not want your Personal Data collected, please do not submit it. If you have already submitted Personal Data and would like it removed from any records held by IML, or would like this information updated and/or corrected, please contact us at the address detailed at the beginning of the Terms. IML will then use its reasonable efforts to delete your Personal Data from its records or update it or correct it as necessary, as soon as possible after you contact us.

Any collection of Personal Data, as a result of any registration (including, but not limited to, subscriptions to newsletters or as a result of requesting information on any of IML's products or services), or otherwise, is done with your explicit consent to such collection and processing by IML of the Personal Data disclosed by you for the purpose(s) for which it was disclosed.

In the unlikely event that IML holds or processes any Personal Data about you, IML will not transfer such Personal Data to any countries outside the European Economic Area ("EEA") without your prior consent and without first having assessed the adequacy of protection for individual rights in respect of personal data available in those countries.

Under UK Data Protection Law you have the right to see a copy of the Personal Data held by IML about you ("Subject Access"). If you require to make such a Subject Access request please contact us at the address detailed at the beginning of the Terms. Please note that there is likely to be a charge for making a Subject Access request. At present, the maximum charge payable by you is £10.

8. Cookies
When you view the Site, some information may be stored on your computer. This information will be in the form of a "cookie" or similar file. Cookies are small files sent by our server that are installed on your computer system's hard drive. Cookies track your access to the Site and store information related to the pages of the Site which you visit. We use cookies in order to simplify your visits to the Site and to improve the dialogue between our computer and your computer. You may refuse the installation of cookies by configuring your internet navigator accordingly. However, refusing installation may prevent you from having access to certain services offered on the Site.

9. Applicable Law and Dispute Resolution
The Terms shall be governed by English law and you irrevocably agree (a) to submit to the exclusive jurisdiction of the courts in England in respect of any dispute which may arise out of, under, or in connection with the Terms; and (b) that the place of performance shall be England. Notwithstanding the foregoing, IML reserves its right to raise proceedings for any breach of these Terms in the country where such breach arises.

IML makes no warranty or guarantee that the Site or Data available on it complies with the laws of any jurisdiction other than England. You are responsible for compliance with any laws of the country from which you are accessing the Site.
